YELLOWMAN TERMS AND CONDITIONS

Effective Date: 21 September 2026

Last Updated: 21 September 2026

These Terms and Conditions ("Terms", "Terms and Conditions" or "Agreement") govern your access to and use of the Yellowman website, mobile applications, marketplace, services and related platforms (collectively, the "Platform").

Yellowman is operated by **Yellowman Nigeria Limited** ("Yellowman", "we", "us", "our" or "Platform").

By accessing, registering on, browsing, purchasing from, selling through, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Platform.

These Terms apply to both **Buyers** and **Vendors/Sellers**, except where a provision expressly applies only to one of those categories.

1. ABOUT YELLOWMAN

Yellowman is a Nigerian multi-vendor ecommerce marketplace that enables independent businesses, brands, retailers and other approved sellers ("Vendors") to offer products to customers ("Buyers").

Unless expressly stated otherwise on a particular product or service, Yellowman operates the marketplace and provides the technology, ordering, payment, communication and related marketplace infrastructure through which Vendors and Buyers interact.

A Vendor may be an independent business or individual and is responsible for the products it lists and sells through the Platform.

Where a product is supplied by a Vendor, the Vendor remains responsible for the accuracy of its product information, lawful ownership or authority to sell the product, quality, conformity, warranties applicable to the product, packaging, and fulfilment obligations, subject to applicable Nigerian law and Yellowman's marketplace policies.

2. ELIGIBILITY

You may use the Platform only if you are legally capable of entering into a binding contract under applicable Nigerian law.

By using the Platform, you confirm that:

  1. the information you provide is accurate and complete;
  2. you will keep your account information accurate and up to date;
  3. you will not use another person's account without permission;
  4. you will comply with these Terms and all applicable laws;
  5. you will not use the Platform for fraudulent, unlawful or abusive purposes.

If you are purchasing on behalf of a company or organisation, you confirm that you have authority to bind that organisation.

3. ACCOUNT REGISTRATION

Certain Platform features may require you to create an account.

You are responsible for:

  1. maintaining the confidentiality of your login credentials;
  2. all activities carried out through your account;
  3. providing accurate registration information;
  4. promptly notifying Yellowman if you suspect unauthorised access.

You must not sell, transfer, rent or otherwise provide your Yellowman account to another person without our written permission.

Yellowman may require identity, contact, business or other verification information where reasonably necessary for security, fraud prevention, regulatory compliance or marketplace integrity.

4. MARKETPLACE ROLE

Yellowman provides an online marketplace and related technology services.

Unless expressly stated otherwise:

  1. Yellowman does not manufacture products listed by independent Vendors.
  2. Yellowman does not own every product listed on the Platform.
  3. Yellowman does not act as the agent of every Vendor merely because the Vendor uses the Platform.
  4. Vendors are responsible for complying with laws applicable to their products and businesses.
  5. Vendors are responsible for ensuring that products listed on the Platform are accurately described.
  6. Yellowman may review, moderate, suspend or remove listings, accounts or content in accordance with these Terms and applicable law.

Nothing in this section limits any legal rights or remedies that a consumer may have under Nigerian law.

5. PRODUCT LISTINGS

Vendors must provide accurate, current and sufficiently detailed information about their products.

Product information may include:

  1. product name;
  2. photographs;
  3. specifications;
  4. condition;
  5. dimensions;
  6. quantity;
  7. brand;
  8. model;
  9. colour;
  10. variations;
  11. price;
  12. warranty information;
  13. availability;
  14. delivery information;
  15. applicable restrictions.

Where a product is used, refurbished, reconditioned, repaired, second-hand, open-box or otherwise not new, the Vendor must clearly disclose that condition.

Product images are intended to provide a reasonable representation of products. Minor differences in colour, packaging or appearance may occur where reasonably attributable to photography, lighting, display settings or manufacturer packaging.

Vendors must not knowingly publish false, misleading, deceptive or materially incomplete product information.

Yellowman may correct, suspend or remove listings that appear inaccurate, misleading, unlawful, unsafe or inconsistent with marketplace requirements.

6. PRODUCT PRICES

Prices displayed on the Platform shall be stated in the applicable currency.

Unless expressly stated otherwise, prices may be subject to:

  1. delivery charges;
  2. applicable taxes;
  3. service charges;
  4. promotional conditions; or
  5. other charges clearly disclosed before payment.

The total amount payable should be displayed to the Buyer before completion of the purchase where reasonably practicable.

Vendors are responsible for ensuring that their prices are accurate and lawful.

Yellowman may correct obvious pricing errors before an order is fulfilled. Where an obvious pricing error affects an order that has already been placed, Yellowman may contact the Buyer to confirm whether the Buyer wishes to proceed at the correct price or cancel the affected order and receive any refund due.

7. PROMOTIONS, DISCOUNTS AND COUPONS

Promotions, discounts, vouchers and coupons may be subject to additional terms.

Unless otherwise stated:

  1. promotional offers are subject to availability;
  2. promotional offers may have expiry dates;
  3. coupons may not be exchanged for cash;
  4. coupons may be restricted to particular products, Vendors, customers or transactions;
  5. Yellowman may cancel a promotion where there is fraud, abuse, technical error or other circumstances that make the promotion invalid.

Where a promotion creates rights that cannot lawfully be withdrawn, applicable consumer rights shall prevail.

8. PLACING AN ORDER

When you place an order, you are making an offer to purchase the selected product(s) under the applicable listing terms.

An order confirmation or acknowledgement does not necessarily mean that the order has been accepted by the Vendor.

An order may be cancelled before acceptance where, for example:

  1. the product is unavailable;
  2. the Vendor cannot fulfil the order;
  3. the listing contained a material error;
  4. there is suspected fraud;
  5. payment has not been successfully completed;
  6. the transaction cannot legally be completed; or
  7. circumstances beyond reasonable control prevent fulfilment.

Where an order is cancelled after payment has been received, Yellowman or the relevant payment/service provider will process any refund properly due to the Buyer in accordance with applicable law and the relevant refund process.

9. MULTI-VENDOR ORDERS

A single checkout may contain products supplied by different Vendors.

Where this occurs:

  1. each Vendor remains responsible for its own products;
  2. delivery may occur in separate packages;
  3. delivery times may differ between Vendors;
  4. return and warranty procedures may differ depending on the product and Vendor;
  5. a cancellation or refund relating to one product may not automatically cancel the entire order.

Yellowman may provide a unified checkout and order-management experience even where individual products are supplied by different Vendors.

10. PAYMENT

Yellowman may make available one or more payment methods, including electronic payment methods provided by authorised payment service providers.

Payments may be processed by third-party payment processors or financial institutions.

By submitting payment information, you confirm that:

  1. you are authorised to use the selected payment method;
  2. the information supplied is accurate;
  3. the transaction is legitimate; and
  4. you will not attempt to reverse, dispute or charge back a legitimate transaction through fraudulent or abusive means.

Where a payment is debited but the order is not successfully completed, Yellowman will take reasonable steps to facilitate resolution and any applicable refund.

Payment disputes may also be subject to the rules and procedures of the relevant bank, card scheme, payment processor or financial institution.

11. DELIVERY

Delivery options, estimated delivery periods and applicable charges will be displayed where available.

Delivery times are estimates and may be affected by:

  1. Vendor processing times;
  2. location;
  3. courier capacity;
  4. weather;
  5. public holidays;
  6. security conditions;
  7. traffic;
  8. regulatory restrictions;
  9. inaccurate delivery information; or
  10. other circumstances outside reasonable control.

A Vendor must not deliberately misrepresent its delivery capability.

If a material delay occurs, the Buyer should be provided with appropriate information and, where applicable, available remedies.

The Buyer is responsible for providing an accurate delivery address and accessible contact details.

12. DELIVERY INSPECTION

Where reasonably practicable, Buyers should inspect delivered products promptly.

If a package appears materially damaged, tampered with or materially different from the ordered product, the Buyer should document the condition and contact Yellowman or the relevant Vendor as soon as possible.

Failure to immediately inspect a package does not automatically remove statutory consumer rights.

13. RETURNS

Yellowman supports lawful and reasonable returns in accordance with applicable Nigerian consumer protection law and the applicable product/Vendor return policy.

A Buyer may be entitled to return a product where, for example:

  1. the wrong product was supplied;
  2. the product is materially different from its description;
  3. the product is defective;
  4. the product is unsafe;
  5. the product is materially damaged before delivery;
  6. the product does not conform to applicable contractual or legal requirements; or
  7. the applicable return policy permits the return.

Certain products may be subject to reasonable restrictions because of their nature, including products that are:

  1. personalised or made to specification;
  2. perishable;
  3. hygienic or sanitary products where return is inappropriate after opening;
  4. sealed software, media or digital products after opening;
  5. products that cannot reasonably be resold for health or safety reasons; or
  6. otherwise exempt or restricted by applicable law.

Any restriction must not be used to defeat a consumer's mandatory statutory rights.

14. RETURN CONDITION

Where a return is permitted, the Buyer should return the product in the condition reasonably required under the applicable return policy.

Where applicable, the product should include:

  1. original packaging;
  2. accessories;
  3. manuals;
  4. warranty documentation;
  5. tags; and
  6. other components supplied with the product.

Reasonable wear associated with inspecting a product will not by itself automatically invalidate a lawful consumer remedy.

A return may be rejected where there is evidence of misuse, intentional damage, unauthorised alteration or other conduct that caused the relevant defect or damage, subject to applicable law.

15. REFUNDS

Where a refund is approved, the refund will normally be made using the original payment method or another lawful method agreed with the Buyer.

The timing of a refund may depend on:

  1. the payment method;
  2. payment processor;
  3. issuing bank;
  4. financial institution;
  5. Vendor;
  6. courier/return process; or
  7. applicable regulatory requirements.

Yellowman will not deliberately delay an approved refund.

Where a transaction was processed through an external payment provider, the actual crediting time may be determined by that provider or financial institution.

16. CANCELLATION BY BUYERS

A Buyer may request cancellation of an order before fulfilment, subject to the status of the order and applicable law.

Where cancellation is legally permitted after payment, the Buyer will receive any refund properly due, subject to applicable lawful charges or restrictions.

Where an order has already been dispatched or delivered, the matter may be handled under the applicable return process rather than cancellation.

Nothing in these Terms removes any statutory cancellation, return or refund right that cannot lawfully be excluded.

17. WARRANTIES AND PRODUCT QUALITY

Vendors must comply with applicable Nigerian laws concerning product quality, safety, warranties and guarantees.

Where a product is sold with a manufacturer warranty, Vendor warranty or Yellowman warranty, the applicable warranty terms will apply.

A Vendor must not falsely claim that a product has a warranty, certification, approval or manufacturer's support where it does not.

Where a product is defective or unsafe, the Buyer may have rights under applicable law in addition to any commercial warranty.

18. COUNTERFEIT, ILLEGAL AND PROHIBITED PRODUCTS

Yellowman does not permit Vendors to list products that are illegal, counterfeit, stolen, unsafe, fraudulently represented or otherwise prohibited.

Products may be removed where they violate:

  1. Nigerian law;
  2. applicable regulatory requirements;
  3. intellectual property rights;
  4. product safety requirements;
  5. Yellowman marketplace policies; or
  6. the rights of other persons.

Prohibited or restricted categories may include, without limitation:

  1. counterfeit goods;
  2. stolen goods;
  3. illegal drugs;
  4. unlawfully controlled substances;
  5. illegal weapons;
  6. explosives;
  7. fraudulent financial instruments;
  8. products falsely claiming regulatory approval;
  9. products infringing intellectual property rights;
  10. unsafe or recalled products;
  11. fraudulent identification documents;
  12. unlawful adult or exploitative material;
  13. products whose sale is prohibited by Nigerian law.

Yellowman may cooperate with law enforcement, regulators, rights holders and other authorised bodies concerning suspected unlawful activity.

19. VENDOR OBLIGATIONS

Every Vendor agrees that it will:

  1. provide accurate business and identity information;
  2. provide accurate product information;
  3. sell only products it is legally authorised to sell;
  4. comply with applicable Nigerian laws and regulations;
  5. maintain required licences, permits, registrations and approvals;
  6. comply with applicable tax obligations;
  7. fulfil accepted orders within the stated timeframe;
  8. package products appropriately;
  9. provide genuine products where represented as genuine;
  10. honour applicable warranties and guarantees;
  11. handle returns and complaints appropriately;
  12. not engage in deceptive marketing;
  13. not manipulate ratings or reviews;
  14. not create fraudulent accounts;
  15. not use the Platform to facilitate unlawful transactions;
  16. maintain appropriate records relating to sales; and
  17. cooperate with Yellowman investigations concerning complaints, fraud, safety or regulatory issues.

20. VENDOR VERIFICATION

Yellowman may conduct reasonable verification of Vendors.

Verification may include requests for:

  1. government-issued identification;
  2. company registration information;
  3. business address;
  4. telephone number;
  5. email address;
  6. bank account information;
  7. tax information;
  8. licences;
  9. regulatory approvals;
  10. product authenticity documentation; or
  11. other information reasonably required for marketplace integrity.

Verification does not constitute a guarantee by Yellowman that a Vendor or its products are suitable for every purpose.

21. VENDOR PAYMENTS AND SETTLEMENTS

Yellowman may charge Vendors commissions, listing fees, transaction fees, subscription fees, advertising fees, delivery-related charges or other charges disclosed under the applicable Vendor agreement or fee schedule.

Vendor settlements may be subject to:

  1. successful completion of transactions;
  2. applicable returns and refunds;
  3. chargebacks;
  4. fraud reviews;
  5. payment processing;
  6. marketplace fees;
  7. withholding or statutory obligations;
  8. account verification; and
  9. other legitimate adjustments.

Yellowman may temporarily hold or delay settlement where reasonably necessary to investigate suspected fraud, disputes, chargebacks, regulatory issues or other material risks.

22. SELLER-TO-BUYER COMMUNICATION

Vendors may communicate with Buyers through Yellowman's approved communication features for legitimate transaction purposes.

Users must not use Platform communication tools to:

  1. harass another user;
  2. send spam;
  3. solicit unlawful transactions;
  4. distribute malicious software;
  5. obtain passwords or financial credentials;
  6. bypass Yellowman's transaction system for fraudulent purposes;
  7. collect personal information unlawfully; or
  8. engage in abusive or discriminatory conduct.

23. REVIEWS, RATINGS AND USER CONTENT

Buyers may be permitted to submit ratings, reviews, photographs, comments or other content.

You must ensure that submitted content is truthful and based on genuine experience.

You must not submit:

  1. fake reviews;
  2. reviews written in exchange for undisclosed payment or benefits;
  3. defamatory material;
  4. threats;
  5. discriminatory content;
  6. obscene or unlawful material;
  7. confidential information;
  8. another person's personal information without lawful authority;
  9. copyrighted material without appropriate rights; or
  10. malicious code.

By submitting content to Yellowman, you grant Yellowman a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, distribute and use that content for operating, promoting and improving the Platform, subject to applicable law and our Privacy Policy.

Yellowman may remove content that violates these Terms or applicable law.

24. INTELLECTUAL PROPERTY

The Yellowman name, logo, trademarks, website design, software, databases, graphics, text, photographs, interfaces and other Platform materials are owned by or licensed to Yellowman and are protected by applicable intellectual property laws.

You may use the Platform only for lawful personal or business purposes permitted by these Terms.

  15. violate any applicable Nigerian law.

26. FRAUD PREVENTION

Yellowman may use automated and manual systems to detect suspicious transactions, accounts, products or activities.

Where reasonably necessary, Yellowman may:

  1. request additional verification;
  2. delay an order;
  3. suspend an account;

Termination does not remove rights or obligations that accrued before termination.

28. AVAILABILITY OF THE PLATFORM

Yellowman aims to maintain a reliable marketplace but does not guarantee uninterrupted or error-free availability.

The Platform may occasionally be unavailable because of:

  1. maintenance;
  2. upgrades;

Yellowman is not responsible for matters solely within the control of an independent third-party provider, except where liability cannot lawfully be excluded.

30. PRIVACY AND DATA PROTECTION

Yellowman processes personal information in accordance with applicable Nigerian data protection laws, including the **Nigeria Data Protection Act 2023**, and Yellowman's Privacy Policy.

Personal information may be processed for purposes including:

33. DISPUTES BETWEEN BUYERS AND VENDORS

Where a dispute arises between a Buyer and Vendor concerning a transaction, Yellowman may facilitate communication and investigation.

Yellowman's involvement does not prevent either party from exercising any legal right or remedy available under Nigerian law.

Where the matter concerns product quality, delivery, payment, authenticity, refund or another transaction issue, Yellowman may request evidence from both parties before determining what marketplace action, if any, is appropriate.

34. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Nigerian law.

Subject to the foregoing, Yellowman shall not be responsible for losses arising solely from:

  4. third-party services outside Yellowman's reasonable control;
  5. events outside reasonable control; or

35. INDEMNITY

To the extent permitted by applicable law, a Vendor or other user may be required to indemnify Yellowman against reasonable losses, claims, liabilities, costs and expenses arising directly from:

  1. the user's unlawful conduct;

  4. infringement of another person's intellectual property rights;
  5. unlawful products supplied by the user;
  6. material misrepresentation;
  7. violation of applicable law; or
  8. misuse of the Platform.

This provision does not apply where the relevant loss was caused by Yellowman's own unlawful conduct or where such indemnification is prohibited by law.

36. FORCE MAJEURE

Yellowman shall not be liable for failure or delay caused by circumstances reasonably beyond its control, including:

The updated Terms will be published on the Platform with a revised "Last Updated" date.

Where applicable law requires specific notice or consent for a material change, Yellowman will provide such notice or obtain such consent.

Continued use of the Platform after the effective date of an updated version constitutes acceptance of the updated Terms to the extent permitted by law.

38. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be modified or severed to the minimum extent necessary, while the remaining provisions shall continue in effect.

39. NO WAIVER

A failure or delay by Yellowman in enforcing any provision of these Terms does not constitute a waiver of that provision or any other right.

40. ENTIRE AGREEMENT

These Terms, together with applicable product terms, Vendor agreements, marketplace policies, Privacy Policy, return/refund policy and other policies expressly incorporated into them, constitute the agreement governing your use of the Platform.

Where there is a conflict between these Terms and a mandatory provision of Nigerian law, the mandatory legal provision shall prevail.

41. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the **Federal Republic of Nigeria**.

Subject to any mandatory statutory dispute-resolution mechanism or consumer right, disputes arising from these Terms shall be subject to the jurisdiction of the competent courts of Nigeria.

Nothing in this clause prevents a consumer from exercising any statutory right to seek redress before a competent regulatory body, tribunal or court.

42. CONSUMER RIGHTS

Nothing in these Terms is intended to remove, restrict or waive any consumer right that cannot lawfully be excluded under Nigerian law.

Where any provision of these Terms conflicts with a mandatory consumer protection requirement, the mandatory requirement shall prevail.

Yellowman recognises that consumers are entitled to appropriate protections concerning product quality, safety, accurate information, fair dealing, refunds, returns and other matters provided by applicable law.
